1. Service Engagement & Professional Standards
By engaging Webnova for any development, design, or consulting project, the Client agrees to be bound by these Terms and Conditions. Our services are provided based on agreed-upon project milestones and technical specifications outlined in the finalized Quotation. We commit to maintaining the highest engineering standards and architecture integrity throughout the project lifecycle.
2. Payment Dynamics & Billing Integrity
- Quotations: All quotes are valid for 30 calendar days. TDS will be applicable as per the Income Tax Act 1961 and must be deducted by the client at the time of payment.
- Billing: Invoices are issued per milestone completion or as per the agreed schedule. Net payable amounts must be settled within 7 days of invoice issuance.
- Late Reconciliation: Delay in settled funds beyond 15 days may result in an automatic 2% monthly interest charge and a temporary suspension of development velocity.
- Refund Policy: Funds paid for completed milestones are non-refundable. Cancellations during an active milestone will be billed pro-rata based on resources already allocated.
3. Intellectual Property & Code Ownership
Upon full settlement of all project funds, the Client inherits full intellectual property (IP) rights to the final codebase, UI/UX designs, and custom assets. Webnova retains the right to utilize specialized non-proprietary modules, library abstractions, and architectural patterns developed during the project for future iterations across its client base.
4. Scope Variations & Functional Shifts
Any requests for features not explicitly documented in the initial Quotation will be treated as "Scope Variations." These shifts will be quoted separately and may impact the final delivery timeline. A deviation exceeding 10% of the original project volume requires a formal addendum to the agreement.
5. Post-Launch Support & Technical Debt
Webnova provides a 30-day "Stability Warranty" post-launch, covering bug fixes related to the original scope. Maintenance beyond this period, including platform upgrades, third-party API changes, or server migrations, will be subject to a separate Retainer Agreement.
6. Force Majeure & Continuity
Webnova shall not be held liable for delays or failures caused by events beyond our reasonable control, including but not limited to: cloud infrastructure outages, global cyber-attacks, government regulations, or acts of God. In such events, project timelines will be extended by the duration of the disruption.
7. Confidentiality & Non-Solicitation
Both parties agree to treat all business information, pricing, and logic as Confidential. Furthermore, the Client agrees not to solicit or hire any Webnova engineer or contractor during the project term and for 12 months following its conclusion without express written consent and a buyout fee.
8. Governing Law & Dispute Resolution
These terms are governed by the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra. Arbitration will be the preferred first step for any commercial disagreements.
